Subscription terms
The agreement
These terms are between mfenx LLC and the customer purchasing a MFENX Gate software subscription. If you purchase for an organization, you must have authority to accept these terms for it. They apply to the paid customer-operated software offer, not a managed hosting service.
By accepting these terms at purchase, you enter this commercial software agreement. Paddle processes the purchase as reseller under its Buyer Terms. These MFENX terms govern use of the software; Paddle’s terms govern its payment services.
One customer-operated deployment
While your paid subscription is active, mfenx LLC grants you a nonexclusive license to install and run the supplied original MFENX Gate software for one customer-operated deployment, for your internal business use and within your purchased plan’s allowances. This includes commercial receipt issuance and operation of the supplied governance runtime for that deployment.
This is the separate commercial agreement required by the original software’s license notice. The software remains proprietary. Purchasing a subscription does not transfer ownership or grant general redistribution, resale, sublicensing or OEM rights. Embedding or distributing an issuance product to third parties requires a separate written OEM agreement.
Free receipt verification and local development/evaluation remain governed by the unchanged free-use terms, including their stated verification redistribution permission. Third-party components retain their own licenses and notices; this agreement does not replace or restrict them.
Delivery and supported platform
The customer runtime is downloadable software that you install and operate. Its qualified installation target is CPython 3.13 on Linux x86_64 with glibc 2.34 or newer. Confirm this environment before purchase. The installation documentation identifies the release, dependencies and acceptance checks.
The model-evaluation SDK and its engine dependencies are a separate installation from the licensed governance runtime. Installing the runtime alone does not install every model evaluator, GPU backend or model format dependency. Use the documented SDK workflow for the evaluation you intend to perform.
Price, renewal and cancellation
Current plans, prices, billing intervals and included allowances appear on the pricing page and are confirmed in checkout, with applicable taxes. Team and Business are monthly subscriptions; Private is annual. Subscriptions renew at the purchased interval until canceled. Automatic usage overage charges are not part of this offer.
Cancel through the management link in your Paddle purchase email or Paddle buyer support. Cancellation stops future renewal and normally takes effect at the end of the billing period. A cancellation is not itself a refund request. The refund policy explains the separate refund process and applicable rights.
Signed software entitlements
Team and Business require online refresh of short-lived software entitlements. Each grant is valid for no more than 24 hours and cannot extend beyond the confirmed paid period. You must arrange the documented customer-side refresh process; paying for a subscription does not automatically schedule it on your machine.
Private uses an annual offline entitlement bounded by its signed expiry. New grants require a current eligible paid subscription. Cancellation, a payment failure or an adverse payment adjustment can prevent new issuance. An already signed grant may remain technically valid until its signed expiry after cancellation; offline validation does not provide instant revocation. Technical validity does not extend the rights granted by this agreement.
Free receipt verification remains available independently of a paid entitlement. Ending a subscription does not invalidate previously issued receipt signatures.
Your keys and deployment
You control the installation, identity provider, signing keys, policies, model files and evaluation data in your environment. Keep private keys, recovery backups and passphrases secure and separate. A purchase key authorizes software-license requests; it is distinct from an issuer key that signs your model receipts.
MFENX does not hold your private purchase key or recovery passphrase. Loss of both the usable key and its recovery material can prevent self-service access. Support can review a request, but cannot promise to reconstruct a lost private key.
Use the software in accordance with applicable law and the documented verification scope. You remain responsible for the deployment decision and for choosing the trusted issuer, approved policy and evaluation inputs. A receipt describes its recorded checks, not every possible behavior of a model.
Support and related terms
The standard subscription does not include a custom service-level agreement, guaranteed support response time, indemnity or regulatory certification. Any additional commitment must be stated in a separate written agreement with mfenx LLC. Nothing in these terms removes rights that applicable law does not permit to be waived.
